We also sought information on the track record of its board members and major shareholders to identify any red flags or issues that may be of note to the client.
Investigative research and discreet inquiries indicated that the target entity was set to benefit from the strong backing of a leading private equity player, support from the state government, and positive government reforms. Although this company was involved in several operational challenges and consumer complaints, it was not linked to any major unethical activity and had not misused political influence to obtain unfair advantages over its peers.
While its majority shareholder was involved in a few corruption allegations and regulatory violations, our findings found that these issues were part and parcel of regular business activities in this sector in India. The target entity’s board members were known professionals with an unblemished track record.
