The Situation

A $200M+ farm and processing company in Northern California, owing over $170M to secured lenders and walnut growers, faced severe financial distress after overextending operations prior to a global supply surplus. Increased production and exports from China caused prices to plummet, significantly reducing the company’s revenue and straining cash flow.

Compounding the issue, the over-leveraged company was unable to service more than $130M owed to lenders and $40M owed to walnut growers, jeopardizing operations during the upcoming harvest season. Concerned about protecting collateral and maximizing recovery, the lenders sought appointment of a receiver to optimize their recovery from the sale of existing inventory, the 2024 crop harvest, equipment, the processing facility, and the orchards.

Our team was appointed receiver to manage multiple ranch operations, optimize cash collections, provide financial transparency, and manage the liquidation and sale process. We achieved a significant recovery for the secured lenders and creditors by:

  • Taking control of operations spanning 900,000+ square feet of nut processing facilities and 2,000 acres of prune, almond, and walnut orchards.
  • Developing detailed budgets, implementing financial controls, and securing critical funding.
  • Streamlining operations and rightsizing the workforce.
  • Selling 39 million pounds of aging nuts by fulfilling critical orders of processed nuts for big-box retailers and the bulk sale of in-shell walnuts to a strategic international buyer and distributor.
  • Managing the 2024 and 2025 harvest and hulling operations, ensuring operational continuity.
  • Facilitating the liquidation of equipment and real estate.

The Obstacles & Our Solutions

  • The company’s inventory included over 39 million pounds of walnuts from the previous year’s crop, creating financial and logistical strains as the new harvest approached. Our team responded by:
    • Preserving inventory quality to maximize its market value, including hiring fumigation professionals.
    • Identifying a strategic buyer and engaging an experienced sales agent to efficiently sell the inventory.
    • Managing accounting and logistics to ensure the successful invoicing, loading, and delivery of the entire 39 million pounds of inventory.
  • A week before harvest, no management was in place to oversee the crop harvest or operate the hulling facility. We quickly:
    • Vetted and hired a qualified local farm manager to oversee the harvest and manage the huller.
    • Provided ongoing operational oversight of the legacy staff and the farm manager to ensure smooth harvest operations, post-harvest operations, and facility management.
  • The company lacked the necessary funds to sustain operations during the harvest and liquidation process, prompting us to:
    • Develop comprehensive 13-week financial forecasts for both the processing facility and ranch operations to outline operational costs.
    • Structure and present weekly funding requests to creditors to secure necessary working capital.
    • Distribute sales proceeds to the secured lenders.
  • The company owed substantial amounts to multiple warehouse landlords. We acted quickly by:
    • Negotiating with multiple landlords to settle outstanding debts and avoid operational disruptions.
    • Facilitating the sale of inventory stored in various off-site locations, ensuring timely revenue generation and debt payments.
  • A secured lender and walnut growers are disputing which party has priority of lien against the proceeds from the sale of prior years’ walnut crops, requiring us to:
    • Manage the liquidation of disputed assets, particularly aging inventory and storage bins, and hold proceeds in escrow until an agreement is achieved.
    • Monitor ongoing litigation and provide key information to assist with a resolution of the claims in accordance with the law and the ultimate ruling by the court.
    • Collaborate closely with legal counsel to ensure transparency and fairness in the distribution of proceeds among stakeholders by designing and establishing a formal claims process.
