The Situation

Sandy Alexander is a provider of commercial printing, direct mail, brand environments, kitting, fulfillment, and marketing technology services. The company leverages advanced manufacturing capabilities and proprietary technology to execute integrated marketing campaigns and produce branded materials, including in-store displays, menus, brochures, and catalogs.

The company’s declining operational performance reflected not only deteriorating conditions in the commercial printing market, but also a delayed and misaligned commercial response that allowed market erosion to translate into accelerated share loss. As demand shifted toward lower-volume, faster-turn, and programmatic work, its sales organization remained heavily focused on servicing existing accounts, contributing to continued revenue declines. Throughout 2025 and 2026, the company faced ongoing liquidity constraints due to its shrinking revenue base, leading it to rely on vendor relationships and extend payment terms.

How We Advised

J.S. Held was retained to serve as Chief Restructuring Officer, oversee cash management, develop a restructuring plan, and stabilize the company while pursuing a sale. When the lender initiated a UCC Article 9 foreclosure on the company’s assets, our team negotiated with the lender to establish a private sale process. We then guided the buyer through expedited due diligence and transaction execution.

Our work resulted in the seamless sale and transition of the company’s assets and facility operations, the mitigation of potential labor liabilities, and the lender’s repayment in full. Throughout the engagement, we also provided transactional support, financial reporting, and strategic guidance to the Board of Directors. Following the sale, we continued working with the Board to manage the wind-down and finalize the company’s dissolution.
