The Situation

J.S. Held was retained as a financial advisor by a $35M, vertically integrated, family-owned winery to advise on operational efficiencies and financial restructuring. The company’s cash flow was severely strained due to ongoing price reductions resulting from an industry-wide pullback in U.S. wine consumption. Its lender froze its line of credit due to an over-advance, leading to a liquidity crisis. With roots dating back nearly 100 years, the company’s operations include more than 2.5K acres of vineyards and the capacity to bottle over 20M bottles annually.

How We Advised

Our team built a comprehensive 13-week cash-flow model and associated rolling borrowing base calculation to determine actions to “right-size” the borrowing base. Management used our projections to negotiate with its lender to reactivate its revolving line of credit. Once the company achieved stabilization, our team designed and facilitated financial and operating restructuring tactics to strengthen operations and cash flow, including:

  • Converting approximately $9.3M of debt to equity to improve leverage and coverage ratios.
  • Utilizing off-balance sheet assets to improve debt collateral coverage and restructure the forms of debt.
  • Guiding the process of a $2M equity injection to stabilize strained vendor relationships.
  • Subordinating related-party grower payables to improve the borrowing base calculation.
  • Improving inventory management and advising on optimal conversions from raw and bulk wine to higher-valued cased goods.
  • Negotiating a revised borrowing base structure
  • Reducing annual administrative and inventory-related costs by approximately $2.4M.

We are currently advising the company on restructuring its debt to better align with its size, growth trajectory, and projected capital needs. This engagement is ongoing.
