Third-Party Recruiting Policy (Global)

I. Purpose

J.S. Held LLC, its affiliates, and subsidiaries (hereinafter known as “J.S. Held”, “Company”, “we”, “our” or “us”) recognizes the importance of partnering with Third-Party Recruiters. We believe our continued success relies on our ability to attract top talent and respect the time and energy it takes to source qualified and interested candidates.

J.S. Held has an extensive bench of highly qualified talent acquisition resources in the United States and other jurisdictions globally. We employ the same resources and tools and have access to the same databases as external resources. We strongly encourage you to contact our internal Talent Acquisition Team before engaging outside resources so that we can meet your needs without additional and often unnecessary expense. There may be instances where it may be appropriate to use outside recruitment resources which will be determined on a case-by-case basis.

This Third-Party Recruiting Policy (this “Policy”) is designed to provide guidance to both Third-Party Recruiters and internal Personnel who wish to engage candidates on behalf of J.S. Held.

II. Scope

This Policy applies to all Third-Party Recruiters and all current J.S. Held employees (full-time, part-time, temporary) and independent contractors (collectively, “Personnel”).

III. Changes

We reserve the right to update or modify this Policy at any time without prior notice and will post the updated version and its effective date on J.S. Held’s website at jsheld.com.

IV. Definitions

  1. “Acknowledged and Accepted” means that Personnel has responded in writing to the Third-Party Recruiter regarding a candidate’s resume indicating an interest or no interest in moving forward.
  2. Third-Party Recruiters” are agencies, organizations, or individuals recruiting candidates for temporary, part-time, or full-time employment opportunities on behalf of J.S. Held.

V. Policy

Our Third-Party Recruiters must work closely with our Talent Acquisition Team, staff and hiring managers and must abide by our policies and all legal agreements.

  1. All Third-Party Recruiters must have a written legal agreement in place, signed by a J.S. Held authorized signatory.
  2. J.S. Held will not pay a fee to a Third-Party Recruiter that does not have a written legal agreement in place or has not coordinated their recruiting activity with the appropriate member(s) of the Talent Acquisition Team.
  3. Third-Party Recruiters shall not share resumes with J.S. Held team members unless a written legal agreement is in place and is assigned an active search assignment.
  4. A resume shared with J.S. Held by a Third-Party Recruiter must be Acknowledged and Accepted by J.S. Held in order for the Third-Party Recruiter to be eligible to receive a placement fee or other form of remuneration.
  5. If you chose to utilize an external resource, you must obtain the approval of your Practice Lead and engage with our internal Talent Acquisition Team to ensure that best practices are maintained, J.S. Held policy is followed and that the candidate and the hiring leader have the best possible interviewing experience.
  6. This Policy will be posted on the J.S. Held website and it is the responsibility of all Third-Party Recruiters to review and understand this Policy.
  7. If a Third-Party Recruiter would like to be considered as a potential partner, email [email protected] and include the requested information. Note that providing this information only qualifies you as a potential future Third-Party Recruiter and does not qualify you as an approved service provider.

VI. Costs

All fees incurred by utilizing Third-Party Recruiters will be charged back to the Practice, Division or Corporate function that has engaged the Third-Party Recruiter.

VII. Consequences of Violating this Policy

Any Third-Party Recruiters found to have violated this Policy will be subject to ineligibility for placement fees upon a successful hire.

Any J.S. Held Personnel who are found to have violated this Policy will be subject to disciplinary action, up to and including termination of employment.

VIII. Owner of Policy

The Owner for this Policy is the Global Head of Talent Acquisition & Strategic Operations. The Global Head of Talent Acquisition & Strategic Operations is responsible for reviewing and updating this Policy on an annual basis.
